These Terms and Conditions ("Terms") govern your access to and use of WPSubscription, a WordPress plugin and associated services provided by Convers Lab Inc. ("Company", "we", "us", or "our"). By downloading, installing, activating, or using WPSubscription, you agree to be bound by these Terms. If you do not agree, do not use the plugin or services.

1. Definitions

• "Plugin" refers to the WPSubscription WordPress plugin, including all versions, updates, and associated files.
• "Services" refers to the plugin, our website at wpsubscription.co, documentation, support, and any related tools provided by Convers Lab Inc.
• "You" / "User" refers to the individual or entity accessing or using the Services.
• "License Key" refers to the unique key issued upon purchase of a paid plan that activates premium features.

2. License

Subject to your compliance with these Terms, Convers Lab Inc. grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Plugin on the number of WordPress sites permitted by your purchased plan.

The free version of WPSubscription is distributed under the GNU General Public License v2 (GPL-2.0) as required by the WordPress plugin repository. Premium features activated via a License Key are subject to these Terms and are not covered by the GPL with respect to support, updates, and License Key usage.

You may not:

• Redistribute, resell, sublicense, or transfer your License Key to any third party.
• Use a single License Key on more sites than permitted by your plan.
• Reverse-engineer, decompile, or attempt to extract proprietary portions of the premium code beyond what GPL-2.0 permits.
• Use the Plugin in any way that violates applicable laws or regulations.

3. Account & License Key

Access to premium features requires a valid License Key tied to your account. You are responsible for keeping your License Key confidential. Convers Lab Inc. is not liable for any loss resulting from unauthorized use of your License Key. If you suspect unauthorized use, notify us immediately at [email protected].

4. Payment & Subscriptions

Paid plans are billed on a recurring annual basis unless otherwise stated. By purchasing a plan, you authorize Convers Lab Inc. (or its payment processors) to charge your payment method at the start of each billing period. Prices are subject to change with 30 days' notice. All fees are exclusive of applicable taxes, which are your responsibility.

5. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

6. Updates & Support

Active paid plan holders receive plugin updates and access to our support team for the duration of their subscription. Updates and support are not guaranteed for expired plans. Convers Lab Inc. reserves the right to modify, suspend, or discontinue any feature of the Plugin with reasonable notice.

7. Intellectual Property

All trademarks, logos, and proprietary materials associated with WPSubscription and Convers Lab Inc. are owned by Convers Lab Inc. WooCommerce is a registered trademark of Automattic Inc. WPSubscription is not affiliated with or endorsed by Automattic. All other third-party trademarks referenced are the property of their respective owners.

8. Disclaimer of Warranties

THE PLUGIN AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONVERS LAB INC. DOES NOT WARRANT THAT THE PLUGIN WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL ENVIRONMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONVERS LAB INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PLUGIN OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Convers Lab Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Plugin, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or engage in conduct we determine to be harmful. Upon termination, your License Key will be deactivated. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Convers Lab Inc. is registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above. Continued use of the Plugin after changes become effective constitutes your acceptance of the revised Terms.
